These Postr Index℠ Supplemental Terms (these “Index Terms”) govern your access to and use of the Postr Index℠ feature, including the PCIX pricing index, the Explore page, platform-specific market series, creator tier series, and the rate estimator tool (collectively, the “Index”). These Index Terms are Supplemental Terms as defined in the Postr Technologies, Inc. Terms of Service (the “Agreement”), available at https://www.postr.com/terms-of-service, which is incorporated by reference. In the event of a conflict between these Index Terms and the Agreement, these Index Terms control with respect to the Index. Capitalized terms used but not defined herein have the meanings given to them in the Agreement. By accessing or using the Index, whether or not you are a registered User of the Platform, you agree to be bound by these Index Terms and the Agreement to the extent applicable.

1. Nature of the Index and Informational Purpose

The Postr Index℠ is a proprietary market data product that aggregates and presents historical and current pricing information about sponsored social media content across supported platforms, post types, and creator tiers. The Index is designed and offered solely for general informational and educational purposes. Nothing in or available through the Index constitutes, or should be construed as, advice of any kind, including without limitation advice regarding the pricing, negotiation, acceptance, or rejection of any sponsorship arrangement, talent agreement, or content monetization transaction. Postr does not recommend or endorse any particular pricing level, rate strategy, or commercial decision based on Index data.

All pricing values, trend lines, market series, and related outputs displayed through the Index are provided on an “AS IS” basis. Postr makes no representation or warranty of any kind, express or implied, as to the accuracy, completeness, timeliness, reliability, or fitness for any particular purpose of any data or output available through the Index. Postr expressly disclaims all warranties with respect to Index data, including without limitation any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. 

2. Pricing Data Disclaimer

Pricing values, trend indicators, percentage changes, and high-average-low band data displayed through the Index reflect Postr’s proprietary aggregation methodology and are derived from transaction and market participation data within the Postr Platform. They are composite figures intended to reflect general market conditions for a given platform, post type, and creator tier series, and do not represent the price any specific creator has received, would receive, or should expect to receive for any specific campaign, job, or sponsorship transaction. Such values are subject to change at any time without notice and may vary materially from rates observed outside the Postr Platform or from rates offered through the Platform to any specific User.

Past pricing trends reflected in the Index are not necessarily indicative of future results. No User, creator, advertiser, or third party should rely on Index data as the sole or primary basis for any pricing, commercial, or financial decision. Postr shall not be subject to any liability for any errors, omissions, inaccuracies, or delays in Index data, or for any action taken or not taken in reliance on such data.

3. Rate Estimator Tool

The Index includes a rate estimator tool that generates estimated compensation ranges for a given creator handle, platform, post type, and creator tier based on current Index data and Postr’s internal algorithms. Estimates generated by the rate estimator tool are algorithmically derived from aggregated market data and reflect general market averages within the applicable series. They are not an offer, guarantee, commitment, or promise of any compensation amount by Postr or any Advertiser. Rate estimates are personal to the query submitted and may not reflect rates available to any specific creator in any specific transaction. Actual compensation on the Postr Platform is determined solely by applicable Campaign settings and the terms governing the relevant Job, as described in the Agreement.

To generate rate estimates, the rate estimator tool may reference publicly available profile information associated with the handle submitted. By submitting a handle through the rate estimator tool, you represent that you have the right to submit that information for this purpose and acknowledge that Postr’s collection and use of any information associated with that query is governed by Postr’s Privacy Policy, available at https://www.postr.com/privacy-policy.

4. Methodology and Data Proprietary Rights

The Index, including all series designations, ticker identifiers, aggregation methodology, weighting logic, and derivative outputs, constitutes Postr Technology and proprietary intellectual property of Postr Technologies, Inc. under Section 7.8 (Platform Content and Postr Technology) of the Agreement. The pricing data, taxonomy, index composition, and all related analytical outputs reflected in the Index are owned exclusively by Postr and are not sourced from, licensed by, or affiliated with any third-party financial exchange, market data provider, or index administrator. The chart-rendering layer of the Index is powered by TradingView, and TradingView attribution is visible in accordance with TradingView’s requirements. TradingView’s terms of use govern only the chart-rendering functionality and do not extend to any pricing data, series data, or index composition made available through the Index, all of which are governed exclusively by these Index Terms and the Agreement.

5. Permitted Reference and Attribution

Subject to the restrictions in Section 6 below and the Agreement, third parties may reference Postr Index℠ data, cite current or historical pricing values, or discuss visible pricing trends, provided that any such reference clearly attributes the source as Postr Index℠, does not imply sponsorship, certification, or exclusive partnership with Postr, and does not present the cited figures in a materially altered or misleading manner. Reasonable excerpts, summaries, and screenshots of Index content are permitted on the foregoing conditions. You may embed Postr Index℠ chart views in an iframe using the dedicated embed URLs provided through the Platform, provided that all visible Postr attribution and footer elements are preserved and the embedded content is not framed in a manner that obscures the source identity or represents the content as native or proprietary data of another service. 

6. Restrictions on Use of Index Data

You may not reproduce, republish, redistribute, or otherwise make available all or any substantial portion of the Index or its underlying data in a manner that serves as a substitute for the Index or that competes with the Postr Platform. You may not remove or obscure any Postr attribution from Index content, data, or outputs. You may not use Index data, outputs, or methodology in any automated pricing, valuation, algorithmic decision-making, or rate-setting system without Postr’s prior written consent. You may not represent Index data as your own proprietary data or as data sourced from any party other than Postr. If you are uncertain whether a particular use of Index content complies with these restrictions, you should link to the applicable Postr Index℠ page rather than reproducing the content. These restrictions supplement and do not limit the restrictions set forth in Sections 6.4 (Prohibited Conduct) and 7 (Content and Intellectual Property) of the Agreement.

7. No Liability for Index Data 

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, POSTR AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, OR CLAIM OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH ANY PERSON’S RELIANCE ON OR USE OF INDEX DATA, RATE ESTIMATES, PRICING TREND INFORMATION, OR ANY OTHER OUTPUT OF THE INDEX, INCLUDING WITHOUT LIMITATION ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, WHETHER BASED IN CONTRACT, TORT, WARRANTY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT POSTR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION SHALL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

Nothing in these Index Terms limits or modifies the limitation of liability provisions in Section 15.5 (Limitations on Our Liability) of the Agreement, which continue to apply in full.

8. Public Access and Non-Registered Users

Certain portions of the Index are publicly accessible without registration on the Platform. Unregistered visitors who access the Index are bound by these Index Terms and by the Agreement to the extent applicable to non-registered users, including without limitation the disclaimers in Sections 1, 2, and 7 of these Index Terms and Section 15 (Disclaimers and Limitation of Liability) of the Agreement. Accessing the Index constitutes acceptance of these Index Terms on the same basis as accessing any publicly available portion of the Platform under Section 4.4 (Public and Registered Access) of the Agreement.

9. Governing Law and Disputes

These Index Terms are governed by and construed in accordance with the laws of the State of Florida, without application of its conflict of laws principles. Any dispute arising out of or relating to these Index Terms or the Index is subject to the dispute resolution provisions set forth in Section 17 (Disputes) of the Agreement, including the binding arbitration requirement, class action waiver, and all related provisions, which are incorporated herein by reference.

10. Modifications

Postr may update or modify these Index Terms at any time in accordance with Section 5.1 (Changes to this Agreement or Services) of the Agreement. Any material change will be communicated as described in that Section. Your continued access to or use of the Index after the effective date of any modification constitutes your acceptance of the revised Index Terms.
